Terms of Service

Please read these terms carefully before accessing or using the StyleDesk AI platform. By clicking “I agree,” completing registration, or accessing any portion of the platform, you acknowledge that you have read, understood, and agree to be legally bound by these terms. If you do not agree, you must not use the platform.
These Terms of Service (“Terms”) constitute a legally binding agreement between StyleDesk AI, LLC (“StyleDesk AI,” “we,” “us,” or “our”) and the individual or entity subscribing to or accessing the StyleDesk AI platform (“Subscriber,” “you,” or “your”). These Terms govern your access to and use of the StyleDesk AI website located at www.styledesk.ai, the StyleDesk AI software-as-a-service platform, and all related applications, features, tools, telephone numbers, communications systems, dashboards, and services (collectively, the “Platform” or “Services”).
Definitions
- “Platform” or “Services” — the StyleDesk AI software-as-a-service product, including the AI-powered call and text answering system, dedicated phone number provisioning, booking link delivery, analytics dashboards, photo intake, team scheduling features, barge-in handling, broadcast messaging tools, and all associated tools and features made available by StyleDesk AI.
- “Subscriber” — the barbershop owner, nail salon owner, or other business operator who registers for, accesses, or uses the Platform under a paid or trial subscription.
- “End-Users” or “End-Customers” — the clients, customers, or members of the public who interact with the Platform indirectly by calling or texting the Subscriber’s dedicated phone number provisioned through StyleDesk AI.
- “Subscriber Data” — all information, content, and data submitted to or processed through the Platform by or on behalf of the Subscriber, including business information, service menus, pricing, hours, booking links, and configuration settings.
- “End-User Data” — call recordings, call transcripts, text message content, phone numbers, images and media attached to text messages, and other information generated by or relating to End-Users that is processed through the Platform.
- “AI-Generated Content” — all responses, messages, call scripts, captions, and communications generated by the Platform’s artificial intelligence system on behalf of the Subscriber.
- “Subscription Plan” — the specific tier of service selected by the Subscriber (Basic, Pro, or Premium) with associated features and fees.
- “Dedicated Phone Number” — the local telephone number assigned to the Subscriber upon activation, provisioned through third-party carrier infrastructure for use with the Platform.
Eligibility & Account Registration
2.1 Age and Capacity
You must be at least eighteen (18) years of age and have full legal capacity to enter into binding contracts to access or use the Platform. By registering, you represent and warrant that you meet these requirements.
2.2 Business Use Only
The Platform is designed and intended exclusively for legitimate business purposes. You represent and warrant that you are using the Platform in connection with an active and lawfully operated business, including a barbershop, nail salon, or similar personal care service establishment.
2.3 Accurate Registration Information
You agree to provide accurate, complete, and current information during registration and to promptly update such information if it changes. Providing false or misleading information is grounds for immediate account termination.
2.4 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify StyleDesk AI immediately at hello@styledesk.ai if you suspect unauthorized access. StyleDesk AI shall not be liable for any losses arising from unauthorized access caused by your failure to adequately secure your credentials.
2.5 One Account Per Business
Unless otherwise expressly authorized by StyleDesk AI in writing, each business location may maintain only one Subscriber account. Multi-location operators must contact StyleDesk AI to discuss enterprise arrangements.
Services & Subscription Plans
3.1 Platform Overview
StyleDesk AI provides an AI-powered receptionist platform that automatically answers inbound calls and text messages on behalf of Subscribers, responds to frequently asked questions regarding services, pricing, and hours, delivers booking links to End-Users, accepts reference photos from End-Users via MMS (Pro and Premium plans), and provides analytics and team-scheduling features to Subscribers. The Platform does not itself operate a booking system but integrates with Subscriber-designated third-party scheduling applications.
3.2 Subscription Tiers
- Basic Plan — $49.00 per month — 14-day free trial. Includes 24/7 AI-powered call and text answering, one (1) dedicated local phone number, responses to service / pricing / hours inquiries, press-1 call transfer, automated booking link delivery, live call and text history dashboard, the ability to edit services, pricing, hours, and booking link, and a TCPA-compliant call recording disclosure played to all callers.
- Pro Plan — $179.00 per month (Team) or $79.00 per month (Solo, see Section 4.10) — 30-day free trial. Includes all Basic Plan features plus up to five (5) individual user logins and phone numbers plus one (1) owner login, smart upselling functionality on calls and texts, promotional broadcast messaging to client contacts, voicemail with AI transcription, repeat caller detection and top client insights, weekly AI insights (trends and patterns from the prior week), a weekly performance report emailed each Monday, and the ability to select up to five (5) AI response languages from the 30 supported.
- Premium Plan — $299.00 per month (Team) or $99.00 per month (Solo, see Section 4.10) — 30-day free trial. Includes all Pro Plan features plus up to ten (10) individual user logins and phone numbers plus two (2) owner logins, custom AI voice and greeting in your shop’s style, natural interruption handling (callers can talk over the AI), auto follow-up texts to unbooked callers, projected revenue tracking (weekly and monthly), staff booking leaderboard and performance rankings, segmented broadcast groups, smart FAQ builder for shop-specific answers, custom SMS signature, monthly report card PDF emailed on the first of each month, per-staff busy status indicator, team-member scheduling with per-day working hours and days off, photo intake via MMS with AI captions and dashboard gallery, and responses in all thirty (30) supported languages.
3.3 Feature Availability
StyleDesk AI reserves the right to modify, add to, or remove features from any Subscription Plan upon reasonable notice. Material reductions to features on a paid plan will be communicated with at least thirty (30) days’ advance notice.
3.4 Dedicated Phone Numbers
Upon account activation, StyleDesk AI will provision a dedicated local telephone number with an area code matching or approximate to the Subscriber’s business location. This number is licensed to the Subscriber for use with the Platform during an active subscription. Dedicated phone numbers are not portable and may not be transferred, reassigned, or ported out unless otherwise agreed in writing by StyleDesk AI.
3.5 Third-Party Booking Integrations
The Platform is designed to work with third-party booking applications including, without limitation, Booksy, Fresha, Square, and Vagaro. StyleDesk AI makes no representations or warranties regarding the availability, functionality, or compliance of any third-party booking application. Subscribers are solely responsible for ensuring that their third-party booking systems comply with applicable law.
3.6 Photo Intake
The Platform’s photo intake feature (available on Pro and Premium plans) allows End-Users to text reference photos to the Subscriber’s dedicated number. Photos are stored in the Subscriber’s dashboard, captioned by AI for organization, and optionally delivered to the Subscriber via SMS notification and daily email digest. Photos are retained for up to 180 days by default, after which they are automatically deleted. The Subscriber is responsible for obtaining any necessary consent from End-Users before encouraging them to submit photos.
3.7 Booking-Link Click Tracking
Booking links delivered by the Platform to End-Users via SMS are wrapped in a short StyleDesk AI redirect URL (for example, styledesk.ai/go/xxxxxxxx) that logs click metadata (timestamp, click count, User-Agent) and transparently forwards the End-User to the Subscriber’s actual booking page. Click metadata is used to (a) suppress the 30-minute auto follow-up text when the End-User has already tapped the link and (b) surface engagement data to the Subscriber in their dashboard. Further details are described in the Privacy Policy.
3.8 AI Limitations
The Subscriber acknowledges that AI-Generated Content may contain errors, inaccuracies, or omissions. The Platform’s AI system responds based on the information provided by the Subscriber in the Platform’s configuration settings. StyleDesk AI does not guarantee the accuracy, completeness, or appropriateness of any AI-Generated Content.
Fees, Billing, & Payment
4.1 Subscription Fees
You agree to pay the monthly subscription fee corresponding to your selected Subscription Plan. Current pricing is displayed on the Platform’s pricing page at www.styledesk.ai/#pricing. All fees are stated and billed in United States Dollars (USD) unless otherwise expressly indicated.
4.2 Billing Cycle
Subscription fees are billed on a recurring monthly basis, beginning on the date of your initial paid subscription activation following the conclusion of any applicable free trial period. Your subscription will automatically renew each month unless cancelled in accordance with Section 5.
4.3 Free Trial
New Subscribers are eligible for a free trial period: fourteen (14) days on the Basic Plan and thirty (30) days on the Pro and Premium Plans (the “Free Trial”). During the Free Trial, you will not be charged. At the conclusion of the Free Trial, your selected payment method will be automatically charged the applicable monthly subscription fee unless you cancel prior to the end of the trial period. You are responsible for cancelling before the trial ends if you do not wish to be charged.
4.4 Payment Method
All payments are processed through Stripe, Inc. By providing your payment information, you authorize StyleDesk AI to charge your designated payment method for all applicable subscription fees. StyleDesk AI does not store payment card information directly.
4.5 Failed Payments
If a scheduled payment fails, StyleDesk AI will notify you and attempt to process the payment again. If payment is not received within seven (7) calendar days following the failed payment date (the “Grace Period”), StyleDesk AI reserves the right to suspend access to the Platform. Suspended accounts may be reinstated upon receipt of all outstanding amounts.
4.6 No Refunds on Partial Months
All subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Platform through the end of your current paid billing cycle, but no refunds or credits will be issued for any unused portion. Notwithstanding the foregoing, we will consider good-faith refund requests in the case of duplicate charges, billing errors, or extended service outages attributable to StyleDesk AI.
4.7 Price Changes
StyleDesk AI reserves the right to modify subscription pricing at any time. You will be notified of any pricing changes affecting your subscription at least thirty (30) days before the change takes effect. Continued use of the Platform following a price change constitutes acceptance of the new pricing.
4.8 Taxes
Subscription fees are exclusive of all applicable federal, state, provincial, local, and other taxes, levies, duties, or similar governmental charges (“Taxes”). You are solely responsible for determining and remitting any Taxes applicable to your use of the Platform.
4.9 Fair Use
StyleDesk AI subscription plans are priced for ordinary salon and barbershop operations and include call and text answering at no per-minute or per-message surcharge under normal usage. “Normal Usage” means inbound call and text volume reasonably consistent with the size and nature of the Subscriber’s business on the chosen Subscription Plan. StyleDesk AI reserves the right, upon reasonable notice, to (a) contact Subscribers whose monthly usage materially and persistently exceeds patterns typical for their plan tier; (b) request that such Subscribers move to a higher plan tier better suited to their volume; or (c) suspend, throttle, or terminate service in cases of abuse, including without limitation auto-dialed traffic, robocalls, or spam directed at the Subscriber’s dedicated number, use of the Platform for purposes other than receiving inbound communications from bona fide End-Users of the Subscriber’s business, repeated unauthorized load or test traffic, or any attempt to circumvent this Fair Use policy. StyleDesk AI will make reasonable efforts to contact the Subscriber before taking action under subsections (b) or (c), except where immediate action is necessary to prevent ongoing harm to the Platform, StyleDesk AI, or other Subscribers.
4.10 Solo Variants of Pro and Premium Plans
The Pro and Premium Subscription Plans are offered in two variants: a standard “Team Plan” with the full staff-seat capacity described in Section 3.2 (up to five (5) stylists on Pro; up to ten (10) stylists on Premium), and a discounted “Solo Plan” priced at seventy-nine U.S. dollars ($79.00) per month (Pro Solo) and ninety-nine U.S. dollars ($99.00) per month (Premium Solo). Solo Plans include all features of their corresponding Team Plan but are limited to one (1) active stylist seat total (inclusive of any owner-as-stylist configuration). Attempts to add a second stylist while on a Solo Plan will be blocked by the Platform, and the Subscriber must upgrade to the corresponding Team Plan to expand capacity. Subscribers may switch between Solo and Team variants of the same Plan tier at any time through the Billing tab of the dashboard; changes take effect according to the terms set out in Section 4.7 and the prorating rules applied by our payment processor.
4.11 Founding Offer
As a limited-time launch promotion (the “Founding Offer”), the first one hundred (100) Subscribers who activate a paid Solo Plan subscription (Basic, Pro Solo, or Premium Solo) via the founding-offer signup link are entitled to a twenty percent (20%) discount on their monthly subscription fee (the “Founding Rate”) in lieu of the standard rate for their chosen plan. Founding Rates are: thirty-nine U.S. dollars ($39.00) per month for Basic (in lieu of $49.00); sixty-three U.S. dollars ($63.00) per month for Pro Solo (in lieu of $79.00); and seventy-nine U.S. dollars ($79.00) per month for Premium Solo (in lieu of $99.00). Eligibility is determined automatically at checkout against a single combined cap of one hundred (100) Subscribers across all Solo Plans on a first-come, first-served basis; StyleDesk AI reserves the right to end, suspend, or modify the Founding Offer at any time before the cap is reached. The Founding Rate applies for the lifetime of the Subscriber’s continuous paid Solo Plan subscription and is not subject to the price changes described in Section 4.7. The Founding Rate is forfeited automatically upon (a) cancellation of the subscription, (b) upgrade from any Solo Plan to a Team Plan (Pro Team or Premium Team), (c) account termination, or (d) any unpaid lapse in service extending beyond the Grace Period described in Section 4.5. A Subscriber who switches between Solo Plans (e.g., Basic to Pro Solo, or Pro Solo to Premium Solo) retains the Founding Rate discount applied to the new Solo Plan’s standard rate, subject to availability and Stripe’s pro-ration rules. Team Plans (Pro Team, Premium Team) are not eligible for the Founding Offer under any circumstances. The Founding Rate is non-transferable, attaches solely to the specific Solo Plan subscription under which it was activated, and may not be assigned, sold, or carried over to a different account. StyleDesk AI reserves the right to refuse, revoke, or disqualify participation in the Founding Offer where it reasonably suspects fraud, abuse, duplicate signups, or any circumvention of the one-hundred-Subscriber cap.
Cancellation & Termination
5.1 Cancellation by Subscriber
You may cancel your subscription at any time from the Billing tab of your dashboard at app.styledesk.ai by following the cancellation procedures provided therein. Cancellations take effect at the end of your current monthly billing cycle, and no prorated refunds will be issued.
5.2 Effect of Cancellation
Upon the effective date of cancellation, your access to the Platform will be disabled. Your Dedicated Phone Number will be returned to the available pool and may be reassigned to another subscriber following a reasonable grace period.
5.3 Termination by StyleDesk AI
StyleDesk AI may suspend or terminate your account, with or without notice, if: (a) you breach any provision of these Terms; (b) StyleDesk AI determines, in its sole discretion, that your use of the Platform violates applicable law or poses a risk of harm; (c) your payment method fails and the outstanding balance is not resolved within the Grace Period; or (d) applicable law requires such termination.
5.4 Data Following Termination
Following account termination or cancellation, StyleDesk AI will retain Subscriber Data and End-User Data in accordance with its data retention policy set forth in the Privacy Policy. You may request deletion of your data subject to applicable legal requirements.
Subscriber Responsibilities & Acceptable Use
6.1 Lawful Use
You agree to use the Platform solely for lawful purposes and in compliance with all applicable laws and regulations, including the Telephone Consumer Protection Act (“TCPA”), the CAN-SPAM Act, Canada’s Anti-Spam Legislation (“CASL”), PIPEDA, Quebec’s Law 25, and all applicable state and provincial privacy laws.
6.2 End-User Consent Obligations
The subscriber is solely and exclusively responsible for ensuring that all end-users who receive automated calls or text messages through the platform have provided prior express consent (or, where applicable, prior express written consent) as required by the TCPA and all applicable federal, state, and local telecommunications laws. For Canadian end-users, the subscriber is solely responsible for ensuring that all applicable CASL consent requirements have been met.
StyleDesk AI provides the technological infrastructure only. StyleDesk AI does not obtain, manage, or verify End-User consent on behalf of Subscribers.
6.3 Accuracy of Configured Information
You are responsible for ensuring that all information uploaded or configured in the Platform, including service menus, pricing, operating hours, booking links, staff schedules, and FAQ content, is accurate, complete, and current.
6.4 Prohibited Uses
You agree not to use the Platform to:
- Send or facilitate unsolicited commercial electronic messages in violation of the TCPA, CASL, or any other applicable law;
- Harass, threaten, defraud, or deceive any End-User or third party;
- Transmit unlawful, defamatory, obscene, pornographic, or otherwise objectionable content;
- Impersonate any person, entity, or business in a manner that is misleading or deceptive;
- Engage in any activity that constitutes unfair, deceptive, or abusive acts or practices under applicable consumer protection law;
- Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Platform;
- Use the Platform to collect data about End-Users beyond what is reasonably necessary;
- Violate the intellectual property, privacy, or other rights of any third party;
- Use the Platform for any purpose that competes with or is adverse to StyleDesk AI’s business;
- Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Platform.
6.5 Compliance with Telecom Regulations
The Subscriber acknowledges that the Platform operates calls and texts through regulated telecommunications channels, including 10-digit long code (10DLC) registered numbers. The Subscriber agrees to comply with all applicable carrier rules, A2P messaging guidelines, and FCC regulations.
6.6 TCPA One-to-One Consent Rule
Effective April 11, 2026, the FCC’s one-to-one consent rule requires that consent to receive automated calls or texts be obtained from each individual End-User separately for each sender entity. You are responsible for ensuring that your End-User consent practices comply with this requirement.
Indemnification
7.1 Subscriber’s Indemnification Obligation
You agree to indemnify, defend, and hold harmless StyleDesk AI, LLC and its members, managers, officers, employees, agents, contractors, successors, and assigns (collectively, “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your breach of any representation, warranty, obligation, or covenant in these Terms;
- Your violation of any applicable law or regulation, including any violation of the TCPA, CASL, PIPEDA, or any state privacy law;
- Any failure to obtain required End-User consent;
- Any content, information, or instructions you configure in the Platform;
- Any claim by an End-User, regulatory authority, or third party arising from the manner in which you or your employees use the Platform;
- Any claim that your use of the Platform infringes the intellectual property, privacy, or other rights of a third party;
- Any negligent, willful, or fraudulent act or omission by you or your agents.
7.2 Indemnification Procedure
StyleDesk AI will promptly notify you in writing of any Claim for which indemnification is sought. You will have the right to assume control of the defense of such Claim. You may not settle any Claim in a manner that imposes obligations or restrictions on StyleDesk AI without StyleDesk AI’s prior written consent.
Disclaimers of Warranties
8.1 As-Is Basis
The platform is provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. To the fullest extent permitted by applicable law, StyleDesk AI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and quiet enjoyment.
8.2 No Guarantee of Uptime or Availability
StyleDesk AI does not warrant that the Platform will be available, uninterrupted, error-free, or free of viruses or other harmful components.
8.3 AI-Generated Content Disclaimer
The subscriber expressly acknowledges that all communications delivered through the platform, including responses to calls, texts, and photo captions, are generated by an artificial intelligence system and not by a human employee. StyleDesk AI makes no representation that AI-generated content will be accurate, complete, appropriate, or suitable for any particular purpose.
8.4 Third-Party Services
StyleDesk AI makes no warranties regarding third-party services integrated with the Platform, including third-party booking applications, payment processors, or telephony carriers.
Limitation of Liability
9.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, in no event shall StyleDesk AI be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or related to these terms or your use of the platform, even if StyleDesk AI has been advised of the possibility of such damages.
9.2 Aggregate Liability Cap
StyleDesk AI’s total cumulative liability to you shall not exceed the total amount of subscription fees actually paid by you to StyleDesk AI in the three (3) calendar months immediately preceding the event giving rise to the claim.
9.3 TCPA and Telecom Liability
StyleDesk AI expressly disclaims all liability for any claims, damages, fines, penalties, or regulatory actions arising from any alleged violation of the TCPA, CASL, or any other telecommunications or anti-spam law, to the extent such claims arise from the subscriber’s failure to obtain required end-user consent or from the subscriber’s misuse of the platform.
9.4 Essential Basis of Bargain
The Subscriber acknowledges that the limitations of liability set forth in this Section 9 reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between the parties.
9.5 Jurisdictional Variations
Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties. To the extent any such limitations are not enforceable, they shall be modified only to the minimum extent necessary to make them enforceable.
Intellectual Property
10.1 StyleDesk AI Ownership
The Platform, including all software, algorithms, AI systems, user interfaces, design elements, trademarks, trade names, service marks, logos, documentation, and related materials, is the exclusive property of StyleDesk AI, LLC and is protected by applicable intellectual property laws.
10.2 License Grant
Subject to your compliance with these Terms and timely payment of all applicable subscription fees, StyleDesk AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes.
10.3 Subscriber Data License
You hereby grant StyleDesk AI a non-exclusive, worldwide, royalty-free license to access, use, process, and display your Subscriber Data solely to the extent necessary to provide the Services.
10.4 Feedback
If you submit suggestions, feedback, or recommendations regarding the Platform, you hereby assign to StyleDesk AI all right, title, and interest in such Feedback.
Confidentiality
11.1 Subscriber Confidential Information
StyleDesk AI agrees to hold your non-public business information in confidence and not to disclose such information to third parties except as necessary to provide the Services or as required by law.
11.2 StyleDesk AI Confidential Information
You agree to keep confidential all non-public information about the Platform, including its features, functionality, performance data, and pricing structures.
11.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by applicable law or court order.
Data Privacy & Security
12.1 Privacy Policy
StyleDesk AI’s collection, use, storage, and disclosure of personal information is governed by the Privacy Policy, which is incorporated into these Terms by this reference.
12.2 End-User Data
The Subscriber acknowledges that End-User Data, including call recordings, call transcripts, text message content, and photos submitted via MMS, will be processed by StyleDesk AI in the course of providing the Services. The Subscriber represents and warrants that any End-User Data transmitted through the Platform has been lawfully obtained.
12.3 Data Processing Relationship
With respect to End-User Data, StyleDesk AI acts as a service provider or data processor on behalf of the Subscriber. The Subscriber is the data controller with respect to End-User personal information.
12.4 Security
StyleDesk AI implements commercially reasonable technical and organizational measures to protect the Platform and the data processed through it. However, no method of electronic transmission or storage is completely secure.
12.5 Data Breach Notification
In the event of a data security breach affecting Subscriber Data or End-User Data, StyleDesk AI will notify you in accordance with applicable law and without unreasonable delay.
Canadian Subscribers — PIPEDA and CASL
13.1 Application to Canadian Subscribers
If you are located in Canada or your End-Users are located in Canada, the following additional terms apply in addition to all other provisions.
13.2 PIPEDA Compliance
StyleDesk AI processes personal information of Canadian Subscribers and End-Users in accordance with PIPEDA and, where applicable, provincial privacy legislation including British Columbia’s PIPA, Alberta’s PIPA, and Quebec’s Law 25.
13.3 CASL Subscriber Obligations
The Subscriber acknowledges that CASL regulates the transmission of Commercial Electronic Messages (“CEMs”) to recipients in Canada. The Subscriber is solely responsible for obtaining express or implied consent from each End-User, ensuring each CEM includes identity and contact information, providing a functional unsubscribe mechanism (honoured within 10 business days), and maintaining records of CASL consent.
13.4 CASL Disclaimer
StyleDesk AI provides the Platform as technological infrastructure only and is not the initiator or sender of CEMs for purposes of CASL. The Subscriber is the sender of all messages transmitted through the Platform. CASL violations can result in administrative monetary penalties of up to CAD $1,000,000 per violation for individuals and up to CAD $10,000,000 per violation for organizations.
13.5 Quebec Law 25
Subscribers whose End-Users include Quebec residents acknowledge that Quebec’s Law 25 imposes additional obligations regarding privacy impact assessments, data minimization, cross-border data transfers, and enhanced consent requirements.
Telephone Consumer Protection Act (TCPA) Compliance
14.1 Platform as Tool
StyleDesk AI provides the Platform as a technological tool that facilitates automated communications on behalf of Subscribers. StyleDesk AI does not initiate calls or texts independently.
14.2 Subscriber’s TCPA Responsibility
The Subscriber is solely and exclusively responsible for:
- Ensuring prior express consent from all End-Users;
- Maintaining records of End-User consent;
- Complying with the FCC’s one-to-one consent rule;
- Honoring all opt-out and do-not-contact requests promptly;
- Ensuring calls and texts are not made to numbers on the National Do Not Call Registry;
- Complying with all applicable state telemarketing and automated communications laws.
14.3 TCPA Indemnification
The Subscriber expressly agrees to indemnify, defend, and hold harmless the Indemnified Parties from any Claims arising out of any alleged or actual violation of the TCPA or any applicable state telecommunications law.
State Privacy Law Compliance
The Platform may be used by Subscribers and accessed by End-Users located in states with comprehensive privacy laws, including without limitation the CCPA/CPRA, VCDPA, CPA, CTDPA, TDPSA, FDBR, MHMDA, and MCDPA. The Subscriber is solely responsible for determining the applicability of any state privacy law to its collection and processing of End-User personal information.
Governing Law & Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.
16.2 Dispute Resolution — Negotiation
The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating any formal legal proceeding.
16.3 Binding Arbitration
If a Dispute is not resolved through negotiation within thirty (30) days of the notice, such Dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States.
16.4 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute shall be conducted solely on an individual basis and not as a class, collective, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.5 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of a Dispute.
Force Majeure
StyleDesk AI shall not be liable for any failure or delay in performance under these Terms arising from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, civil unrest, terrorism, telecommunications failures, carrier outages, cyberattacks, power failures, labor disputes, or failures of third-party service providers.
Modifications to Terms
StyleDesk AI reserves the right to modify these Terms at any time. If StyleDesk AI makes material changes, it will notify you by email or by posting a prominent notice on the Platform at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.
Electronic Communications & Notices
By registering for a StyleDesk AI account, you consent to receive electronic communications from StyleDesk AI, including notices, agreements, disclosures, and other communications required or permitted under these Terms. Notices to StyleDesk AI should be sent to hello@styledesk.ai.
Assignment
You may not assign or transfer your rights or obligations under these Terms, in whole or in part, without StyleDesk AI’s prior written consent. StyleDesk AI may assign or transfer these Terms to any successor entity in connection with a merger, acquisition, sale of assets, or restructuring.
Waiver & Severability
21.1 Waiver
No failure or delay by StyleDesk AI to exercise any right or remedy under these Terms shall constitute a waiver.
21.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and StyleDesk AI with respect to your use of the Platform.
Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, fiduciary, employment, or similar relationship between the parties. You and StyleDesk AI are independent parties.
Children’s Privacy
The Platform is intended for use by business operators and is not directed to children under the age of thirteen (13) years. StyleDesk AI does not knowingly collect personal information from children under thirteen. If you believe that a child under thirteen has provided personal information through the Platform, please contact us immediately at hello@styledesk.ai.
